These special committees are not under the BOD, but the committees comprised of experts discuss and decide on issues related to social contributions including environmental safety which SAMSUNG Electronics focuses on.

compensation committee

The Compensation Committee is not a committee under the Board of Directors, but an internal management committee participated by CEO and CFO. It was established to evaluate the capabilities and performance of executives and decide on their remuneration.

The committee comprises of five members including CEO as a chairman, CFO, and Heads of the Human Resources, Management Support and Management Planning teams. The Compensation committee shall meet twice a year, one in the first half and the other in the second half. The committee shall evaluate each executive's attainment of their quantitative and non-quantitative business goals as well as their work capabilities and decide on the compensation.

environment-safety committee

SAMSUNG Electronics established Environment-Safety Committees for each complex, composed of a environment and safety representative of each complex for accident preventing and synergism maximization. The committees support the development of environment-friendly products as well as activities related to environment, safety, and health. For outside activities, the committee is taking a leading role in the industrial circle through studying domestic and foreign environment and safety policies, providing consulting and reports, attending at international conferences such as WBCSD, KBCSD, UNEP, and WSC, and building a partnership with civil environmental organizations. In particular, it successfully established a global standard in and out the country by establishing Industrial Safety & Health Committees at each complex under Environment-Safety Committee, and standardizing diverse standards which are essential for maintaining safety & health of the complexes.

Industrial Safety & Health Committee consisted of the equal ratio of members from labor and management is quarterly held to draw agreements on employees’ health and safety on a regular basis.

As chairman Kun-Hee Lee launched ‘new management’ in 1993, he asserted public works expansion and maximizing an activity to return profits to the society. SAMSUNG started to understand social contribution as a core management factor. Therefore, we expand our range that has been confined to public utility foundation and move forward to understands the social contribution is ‘a part of our lives’ and have recommended volunteer activity for concretely materializing a morality and humanity. We launched social volunteer in 1995 and supports our employees’ volunteer works.

We made volunteer center at every local production base and prepared a professional and systematic organization for volunteer activities focused on the local area. Every head of overseas corporation leads its employees to participate a volunteer works.

SAMSUNG Electronics expands diverse public works and volunteer activities on 4 fields, social welfare, scholarship education, environment preservation, and international exchange under the name of ‘Full support of social evolution’, ‘Exchange in society’, and ‘Improvement of quality of life’.

SAMSUNG Electronics seeks prosperity with diverse stakeholder and makes an effort to reflect their opinion and interests to our management through various methods and processes. In addition we strongly recommends active participation as of activities of social volunteer works like environment preservation. The Board of Director submits a proposal to general meeting of shareholders and get the shareholders admission if a man/woman who has certain amount of stocks suggests to be a shareholders. Besides, it is supposed to notify the result to a client, customer and employee who raise a difficulties and complaints on the website. Internal process is built that various opinions and interests gotten from IR activity are also immediately handed to top executives, and all interested parties who visit SAMSUNG Electronics website can send an email including an opinion and difficulties to CEO.

SAMSUNG Electronics choose 3 major contribution fields, support for the disabled, environment preservation, information-oriented society for ‘Life of living together’. Besides we perform diverse social contribution like support for juveniles, education exchange, culture/art and etc with our people, local NGO and so on. Especially we built and efficiently run environment safety management system to minimize an influence of environment·safety·health generated from our overall activities, product and service. SAMSUNG Electronics not only evaluate environmental effect to surrounding area but regularly analyze environmental effect data and does our best to care about maintenance. Plus, emergency plan for possible environment safety accident is ready in 365 days a year.
