THESE ARE THE TERMS AND CONDITIONS THAT GOVERN HOW THE “SAMSUNG D/CODE F&B HACKATHON" COMPETITION ("COMPETITION") OPERATES ("TERMS AND CONDITIONS"). IN THESE TERMS AND CONDITIONS, "WE", "US", "OUR" AND "SAMSUNG" REFER TO SAMSUNG ASIA PTE LTD, "YOU", "YOUR" AND "YOURSELF" REFER TO AN ELIGIBLE COMPETITION PARTICIPANT. EVERY SUBMISSION AND ITS CONTENTS (INCLUDING ALL INFORMATION CONTAINED THEREIN) SUBMITTED FOR THIS COMPETITION WILL CONSTITUTE AN "ENTRY". PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ENTERING THIS COMPETITION, AS THEY FORM A LEGALLY BINDING AGREEMENT BETWEEN YOU AND SAMSUNG. BY PARTICIPATING IN THIS COMPETITION, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, FULLY AGREE TO AND UNCONDITIONALLY ABIDE BY THESE TERMS AND CONDITIONS.
"SAMSUNG D/CODE F&B HACKATHON" COMPETITION T&Cs
Eligibility
1.   
The Competition is only open to individuals aged 18 years old and above (as of 18 December 2017). Immediate families of judges, employees of Samsung and its subsidiaries, Cheil Worldwide employees, Starcom Worldwide employees and employees of all sub-contractors are not eligible to participate in the Competition.
2.
Each Entry may be submitted individually or as a team of up to four members.
3.
In case of team participation, each Participant can be a member of only one team in the Competition.
4.
Each Participant/team can only submit one Entry for the Competition.
How to Enter the Competition
5.
Each Participant/team must complete all required fields on the Competition microsite and upload the Entry directly to the Competition microsite. In the event the Competition microsite is not working, each Participant/team may email the Entry, to dcode@samsung.com. Entries should not be sent through a third party, email (other than dcode@samsung.com), direct mail or any other channel, as they will not be considered.
6.
In order to enter the Competition, each Participant/ team (all team members) is required to submit the following personal particulars:
(a)
Full name
(b)
Email address
(c)
Phone number
7.
Each Entry should comprise:
(a)
A 2-page proposal (Format: Microsoft Word, font size 12 and single line spacing) that includes (i) the problem statement; (ii) a summary of the proposed solution to the problem in no more than 100 words; (iii) productivity impact of proposed solution; (iv) key differentiator of proposed solution; (v) company background information in no more than 100 words; and (vi) a description of the Participant/team profile.
(b)
A set of presentation slides (no more than 5) that includes items (i) to (iv) stated in paragraph a above.
(c)
The Entry should be submitted via the Competition microsite.
8.
All Entries must be received no later than 23:00 Singapore Time on 23 February 2018.
Entry Requirements
9.
Participants must not make available or disclose any Entry to the public.
10.
All Entries must be the original work of the Participants and should not infringe the intellectual property rights of any third party. If music, videos, or graphics from a third party are being used, copyright must be cleared before they are submitted with the Entry, and confirmation of such clearance from the copyright owner must be submitted together with the Entry.
11.
All Entries must be new. Any Entry that has been submitted for other competitions (whether in Singapore or overseas or has been used for commercial purposes and/or has been published in any media will not be accepted.
12.
All Entries must not contain any indecent, offensive, obscene, sexually explicit, hateful, harassing or threatening disparaging expression, defamatory or libelous expression and any content, material or element that contains any third party advertising, slogan, logo, trademark or otherwise indicates a sponsorship or endorsement by a third party, commercial entity or that is not within the spirit of the Competition.
13.
The Competition period is from 18 December 2017 and ends on 18 June 2018 (both days inclusive).
Prizes
14.
A judging panel selected by Samsung will decide in its sole and absolute discretion the Participants/teams with shortlisted Entries that will qualify for workshops ("Shortlisted Entries").
15.
The Shortlisted Entries based on scores assigned by a panel selected by Samsung will be further shortlisted for the final event ("Finalists"). The Finalists will have to provide a working software application ("Application") subject to the Application Requirements below, including its source code and all installation files, data (if any), and access (e.g. access credentials, web addresses) required for the Application to function successfully.
16.
A judging panel formed by invited business and community leaders and Samsung executives will decide in its sole and absolute discretion the Finalists with the winning Entries (“Winners”) at the final event.
17.
Samsung reserves the right of final decision regarding the judgment method and Winners.
18.
Prizes are awarded by the number of Participants in that entry.
19.
Shortlisted Entries will be announced and posted on the Competition microsite. Each shortlisted Participant/team will also be informed via email. Due to the large volume of Entries, Participants should assume that their Entries have not been shortlisted in the case that they do not receive any notification from Samsung within five days of the announcement on the Competition microsite.
20.
Participants agree to attend any marketing, promotion, publicity or other key events relating to the Competition.
21.
Winners will be announced on 6 July 2018 at the award presentation event, and the prizes will be award on that same date. Winners who fail to attend the award presentation event will be notified by Samsung within two weeks from 6 July 2018 by email or telephone and will be provided with instructions for winner verification and redemption of their prizes. In the event any prize is unclaimed within such period as may be specified by Samsung, it will be donated to a charity selected by Samsung.
22.
The prizes for the Competition are:
Samsung product(s) for each Participant or in the case of a team, each member of the team.
an opportunity to test the Application in L’Rez and L’café (Nanyang Polytechnic’s teaching restaurant and café respectively), which will be determined at Samsung’s sole and absolute discretion;
an opportunity to market the Application together with Samsung, which would include leveraging on Samsung’s branding, which will be determined at Samsung’s sole and absolute discretion; and
an opportunity to attend a regional event so as to showcase and market the Application to potential investors, fully funded by Samsung, which will be determined at Samsung’s sole and absolute discretion.
23.
Prizes will only be presented to the Participants whose names and personal information have been registered via the Competition microsite.
Application Requirements
24.
Participants must use Application Program Interface ("API") that have been provided by Samsung (where applicable) for the Competition, and/or APIs, libraries, software development kits ("SDK") and other tools that have been made available and authorised for public use, to create or develop the Application. For the avoidance of doubt, tools made available and authorised for public use refers to those that (a) have been made publicly available on the internet to date; and (b) are searchable through common search engines, and accessible thereafter either free or with authorised access.
25.
Participants must not develop, or derive, the Application from any developed software.
26.
In the event the Application requires any additional third party software to function, Participants must provide Samsung with access to and use of such additional software at no cost declared to Samsung.
27.
Participants must ensure that the Application can be successfully installed and function on their desktop/laptop computers or the mobile devices provided by Samsung or.
28.
Participants must not make available or disclose any Application to the public.
29.
All Applications must be the original work of the Participants and should not infringe the intellectual property rights of any third party. If music, videos, or graphics from a third party are being used, copyright must be cleared before they are submitted with the Application, and confirmation of such clearance from the copyright owner must be submitted together with the Application.
30.
All Applications must be new. Any Application that has been submitted for other competitions (whether in Singapore or overseas or has been used for commercial purposes and/or has been published in any media will not be accepted.

Ownership Rights
32.
Participants shall retain all intellectual property rights (including any copyright and trade marks) contained in their original Entry and any and all rights including without limitation "moral rights" in their Entry. However, as a condition of the Competition, where required by Samsung, the Participants shall enter into a separate agreement in writing setting out all other applicable terms and conditions, including any confidentiality obligations and intellectual property ownership rights (including transfer thereof to Samsung).
33.
Participants acknowledge and agree that all intellectual property rights contained within the APIs or SDKs that have been made available by Samsung to Participants to create their Applications shall remain vested in Samsung.
34.
The Competition is organised by Samsung to encourage innovation and motivate individuals to develop solutions that will impact the local community. You agree and acknowledge that any likeness and/or similarity between the projects presented by Participants and any development of Samsung products would be fortuitous.
35.
Samsung shall be entitled to make use of and exploit the Entries or any part thereof in any and all manner, media and format now known or hereinafter created in any part of the world, in perpetuity and in all languages without limitation, without any obligation of attribution or consent, as Samsung shall in its sole discretion think fit, including without limitation the right to make changes, alterations, substitutions and additions thereto, deletions therefrom and adaptations and rearrangements thereof and translations into any and all languages for any use, or to not use the same at all.
36.
Each Participant also grants to Samsung all consents and permissions, including any consents and permissions under any relevant performance protection legislation which would otherwise be necessary to enable Samsung to make the fullest use and exploitation of the Entries.
Participant Restrictions
37.
Participants agree that they will not during the Competition, associate the Competition with activities of direct competitor brands of Samsung, including but not limited to through public events, blogs, photographs, videos, etc.
38.
Participants are prohibited from making any direct and/or indirect contact with the media relating to the Competition, except if requested by or authorised by Samsung.
Confidentiality
39.
In the course of participating in the Competition, Participants may have access to Confidential Information (as defined below) relating to Samsung’s operations and products. Participants must agree and undertake to Samsung that it shall not divulge, reveal or in any way transmit in any manner whatsoever to any third party, the Confidential Information such party acquires in connection with this Competition without the prior consent of the other party.
40.
"Confidential Information" means any confidential and/or proprietary information a Participant obtains access of or receives pursuant to his/her participation in this Competition, whether through proposals, papers or discussion, except that the confidentiality obligation herein shall not apply to Participants with respect to information which:
(a)
is in the public domain, other than by reason of any breach of this paragraph by the Participant;
(b)
is, at the time of disclosure, legally in the possession of the Participant, without any obligation of secrecy;
(c)
is developed by the Participant independently of, and without reference to, the Confidential Information; and/or
(d)
is required to be disclosed pursuant to any applicable legal requirement or legal process issued by any court or any competent government authority or rules or regulations of any relevant regulatory body.
41.
Participant agrees and acknowledges that Samsung, because of the nature of the Confidential Information, would suffer irreparable harm in the event of a material breach of the provisions of this confidentiality clause in that monetary damages would be inadequate to compensate Samsung for such a breach, and that in the event of any material breach or threatened material breach by Participant of any such provisions, Samsung shall be entitled, in addition to such other legal or equitable remedies which might be available, to injunctive relief in any court of competent jurisdiction against the threatened material breach or continuation of any such material breach without showing or proving any actual damages sustained.
GENERAL COMPETITION T&Cs
Prizes
42.
Samsung reserves the right to select the type and model of the Samsung products that will be given out as prizes, subject to stock availability. All Recommended Retail Prices (in Singapore dollars) are based on prices as of 1 January 2018.
43.
If for any reason the Prize(s) designated by Samsung are unavailable, Samsung reserves the right to substitute with prize(s) of equal or greater value. Prizes cannot be exchanged for cash or any other merchandise or services from Samsung, and Participants shall be solely responsible for all applicable taxes related to accepting the prize.
44.
The prizes are provided on an "as is", "with all faults" and "as available" basis. The prizes are subject to their respective licensing terms. Participants agree that Samsung will not be responsible or liable for any loss, damage or personal injury resulting from the use of the prize.
45.
Samsung does not undertake any responsibility or obligation to ensure that any prize will be delivered, by the sponsors or otherwise, to any prize winner.
Data / Personal Information
46.
All data transfer and reception time shall be according to Samsung's server, and subject to Samsung's final decision. Samsung is not responsible for any data that is transmitted late, lost, incorrectly uploaded to other websites, or any information that is received but incomplete or illegible.
47.
By participating in the Competition, you declare and warrant that all data and information you provide is complete and accurate. If the details you provide are incomplete, inaccurate (including but not limited to the use of a false e-mail address), inappropriate or illegible, or you impersonate another person or company to participate, Samsung will in its sole and absolute discretion disqualify your eligibility in this Competition.
48.
Personal information ("PI") of Participants will be collected to enable the organisers (Samsung, Cheil Worldwide and Starcom Worldwide) to administer and use the information provided by the Participants to conduct the Competition and contact them should they win the Competition (prizes). The PI of Participants may be provided to others assisting the organisers in this regard, including without limitation prize suppliers and deliverers, and authorities that regulate the Competition (if applicable). Samsung may, for a reasonable period of time, unless otherwise advised, use Participants’ PI for promotional, marketing, publicity, research and profiling purposes, including sending electronic messages or telephoning the contestant(s). Each Participant consents to such collection, use and disclosure or his/her PI for such purposes. If a Participant does not truthfully provide all requested PI, the organisers may solely determine that such Participant shall not be eligible to take part in any way in the Competition or win any prize (if applicable).
49.
Each Participant agrees that Samsung shall be at liberty to publish, promote, copy, reproduce, transmit, display, edit, adapt, modify, create derivative works of and/or otherwise distribute or use his/her particulars (including any publicly available Facebook profile photo and details) and/or the Entries (or any part thereof): (i) in connection with the Competition and/or Samsung products; (ii) for the promotion and publicity of the Contest and/or Samsung products; (iii) in any manner, format or media whether now known or hereinafter created, and in any part of the world, including without limitation on online platforms such as Facebook, Instagram, Twitter and YouTube; (iv) at Samsung's sole direction; and (v) royalty-free and without any obligation of attribution or consent. For the avoidance of doubt, Samsung expressly reserves the right to adapt, edit and/or modify each Entry to include any logo, branding, name, mark, product image in respect of any Entry or such derivative work thereof, for any promotional or marketing purposes of Samsung branding and/or products. Each Participant agrees for Samsung to use his/her name, voice, photograph, likeness or other personal identifiable information in any media for the promotion and publicity of the Competition and/or Samsung products; and grants to Samsung all consents and waivers necessary hereunder, including in respect of any promotional photographs and/or audio/ video recordings taken in respect of the Competition.
50.
Unless otherwise required for the purposes stated in these Terms and Conditions, all PI of Participants collected for the Competition will be destroyed within six months after the announcement of the Winners of the Competition. Participants’ PI are subject to Samsung's Privacy Policy. Samsung is committed to the protection of personal data, including the content or material you provide to Samsung. Indemnity and Liability
51.
By taking part in the Competition, each Participant hereby agrees to indemnify Samsung against all actions, losses, claims, damages, costs and expenses of whatever nature arising directly or indirectly from any breach by him/her of any of the representations or warranties or any term or condition contained in these Terms and Conditions.
52.
To the maximum extent permitted by law, Samsung shall not be liable for any indirect, special or consequential loss or damage that you may suffer in connection with the Competition.
Disqualification
53.
Samsung reserves the right in its sole and absolute discretion to disqualify any Entry which Samsung has reason to believe has breached any of these Terms and Conditions, or engaged in any unlawful or other improper misconduct calculated to jeopardise the fair and proper conduct of the Competition. Samsung reserves all legal rights to recover damages or other compensation from such an Entry.
Competition Changes
54.
Samsung has the right at any time to change, suspend or discontinue the Competition or any aspect of it. Samsung will announce any substantive change to the Competition by posting on the Competition microsite. Any changes or discontinuation will take effect from the date of public notification. Continued Participation of the Participants in the Competition will constitute acceptance to any changes made by Samsung.
Participant Withdrawal
55.
If any Participant does not agree with any changes, he/she should withdraw from the Competition. The Participant agrees that Samsung shall not be liable to him/ her for any loss or damages arising as a result of any such changes or discontinuation. In case of a team, any three or more Participants who withdraw will also result in the withdrawal of his/her team.
56.
Participants that wish to withdraw from the Competition may do so at any time via email to dcode@samsung.com with subject title: Withdrawal and reasons in the email.
Disclaimer
57.
Participants consent and agree that their Entries will be made available by Samsung for viewing and commenting on by the public, and that comments or ratings that they disagree with or are unhappy about may be published or otherwise become associated with their Entry.
58.
Except where expressly provided herein, Participants shall bear their own costs and expenses incurred and/or arising from their participation in the Competition, and no reimbursement may be sought from Samsung or any participating sponsor.
59.
To the fullest extent permissible under applicable law, Samsung disclaims all warranties and representations of any kind, express or implied, including any representation that any prize shall be delivered or transferred to the Winner(s). Except for any liability that cannot be excluded by law, Samsung, all participating sponsors and any of their respective parent companies, subsidiaries, affiliates, directors, officers, professional advisors, employees and agencies excludes all liability (including for negligence), for any personal injury, or any loss or damage (including loss of opportunity), whether direct, indirect, special or consequential, arising in any way out of the Competition, including, but not limited to, where arising out of the following: (a) any problem, loss or damage of whatsoever nature suffered by any party due to any delay and/or failure (including lost Entries, mail delay or loss) in registering for or participating in the Competition as a result of any communication error, interruption, human error and/or failure by Samsung and/or any third party; (b) any problem, damage or loss of whatsoever nature to any person, resulting from his/her participation in the Competition; (c) any error (including error in notification of Winners), omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, alteration of, or unauthorised access to Entries, or Entries lost or delayed whether or not arising during operation or transmission; or (d) any changes made by Samsung or any third party suppliers or sponsors.
Miscellaneous
60.
By accessing the Competition microsite, you are communicating with Samsung electronically. By doing so, you agree to receive communications from Samsung electronically. Samsung will communicate with you by electronic mail at the electronic mail address provided by you or posting notices on the Contest website or any other website that may be generally designated in advance for such purpose. You consent to receiving electronically all agreements, notices, disclosures and other communications that Samsung provides to you.
61.
Samsung makes no guarantee of the availability of its web services and will not be held responsible for interruption of service that may interfere with the ability to participate in the Competition.
62.
As a condition of the Competition, where required by Samsung, the Winners shall enter into a separate agreement in writing setting out all other applicable terms and conditions, including any confidentiality obligations and intellectual property ownership rights.
63.
All decisions of the judges and/or Samsung are final as to all Competition-related matters and no correspondence or further claims will be entertained.
64.
This Competition and the Terms and Conditions shall be governed and construed in accordance with the laws of Singapore and the courts of Singapore shall have jurisdiction to hear all disputes relating to them.
65.
All provisions of the Terms and Conditions shall apply to the maximum extent permitted by law. If any provision of these Terms and Conditions shall be held to be unlawful, void or unenforceable, then such provision shall be replaced with terms and conditions that most closely match the intent of Samsung and the remainder of the Terms and Conditions shall continue in full force and effect.

Eligibility

Immediate families of judges, employees of Samsung and its subsidiaries, Cheil Worldwide employees, Starcom Worldwide employees and employees of all sub-contractors are not eligible to participate in the Competition.

Each Entry must be submitted by a team of four members.
3.
Each Participant can be a member of only one team in the Competition.

The Social Media Challenge will take place from 18 June 2018 to 2 July 2018 (voting on social media). Samsung will announce the Finalist Team which garners the highest number of votes at the final event ("Social Media Challenge Winner").

In the event the Application requires any additional third party software to function, Participants must provide Samsung with access to and use of such additional software at no cost declared to Samsung.
29.
Participants must ensure that the Application can be successfully installed and function on their desktop/laptop computers or the mobile devices provided by Samsung or.
30.
Participants must not make available or disclose any Application to the public.
31.
All Applications must be the original work of the Participants and should not infringe the intellectual property rights of any third party. If music, videos, or graphics from a third party are being used, copyright must be cleared before they are submitted with the Application, and confirmation of such clearance from the copyright owner must be submitted together with the Application.
32.
All Applications must be new. Any Application that has been submitted for other competitions (whether in Singapore or overseas or has been used for commercial purposes and/or has been published in any media will not be accepted.
33.
All Applications must not contain any indecent, offensive, obscene, sexually explicit, hateful, harassing or threatening disparaging expression, defamatory or libelous expression and any content, material or element that contains any third party advertising, slogan, logo, trademark or otherwise indicates a sponsorship or endorsement by a third party, commercial entity or that is not within the spirit of the Competition.
Ownership Rights
34.
Participants shall retain all intellectual property rights (including any copyright and trade marks) contained in their original Entry and any and all rights including without limitation “moral rights” in their Entry. However, as a condition of the Competition, where required by Samsung, the Participants shall enter into a separate agreement in writing setting out all other applicable terms and conditions, including any confidentiality obligations and intellectual property ownership rights (including transfer thereof to Samsung).
35.
Participants acknowledge and agree that all intellectual property rights contained within the APIs or SDKs that have been made available by Samsung to Participants to create their Applications shall remain vested in Samsung.
36.
The Competition is organised by Samsung to encourage innovation and motivate students to develop solutions that will impact the local community. You agree and acknowledge that any likeness and/or similarity between the projects presented by Participants and any development of Samsung products would be fortuitous.
37.
Samsung shall be entitled to make use of and exploit the Entries or any part thereof in any and all manner, media and format now known or hereinafter created in any part of the world, in perpetuity and in all languages without limitation, without any obligation of attribution or consent, as Samsung shall in its sole discretion think fit, including without limitation the right to make changes, alterations, substitutions and additions thereto, deletions therefrom and adaptations and rearrangements thereof and translations into any and all languages for any use, or to not use the same at all.
38.
Each Participant also grants to Samsung all consents and permissions, including any consents and permissions under any relevant performance protection legislation which would otherwise be necessary to enable Samsung to make the fullest use and exploitation of the Entries.
Participant Restrictions
39.
Participants agree that they will not during the Competition, associate the Competition with activities of direct competitor brands of Samsung, including but not limited to through public events, blogs, photographs, videos, etc.
40.
Participants are prohibited from making any direct and/or indirect contact with the media relating to the Competition, except if requested by or authorised by Samsung.
Confidentiality
41.
In the course of participating in the Competition, Participants may have access to Confidential Information (as defined below) relating to Samsung’s operations and products. Participants must agree and undertake to Samsung that it shall not divulge, reveal or in any way transmit in any manner whatsoever to any third party, the Confidential Information such party acquires in connection with this Competition without the prior consent of the other party.
42.
"Confidential Information" means any confidential and/or proprietary information a Participant obtains access of or receives pursuant to his/her participation in this Competition, whether through proposals, papers or discussion, except that the confidentiality obligation herein shall not apply to Participants with respect to information which:
(a)
is in the public domain, other than by reason of any breach of this paragraph by the Participant;
(b)
is, at the time of disclosure, legally in the possession of the Participant, without any obligation of secrecy;
(c)
is developed by the Participant independently of, and without reference to, the Confidential Information; and/or
(d)
is required to be disclosed pursuant to any applicable legal requirement or legal process issued by any court or any competent government authority or rules or regulations of any relevant regulatory body.
43.
Participant agrees and acknowledges that Samsung, because of the nature of the Confidential Information, would suffer irreparable harm in the event of a material breach of the provisions of this confidentiality clause in that monetary damages would be inadequate to compensate Samsung for such a breach, and that in the event of any material breach or threatened material breach by Participant of any such provisions, Samsung shall be entitled, in addition to such other legal or equitable remedies which might be available, to injunctive relief in any court of competent jurisdiction against the threatened material breach or continuation of any such material breach without showing or proving any actual damages sustained.
GENERAL COMPETITION T&Cs
Prizes
44.
Samsung reserves the right to select the type and model of the Samsung products that will be given out as prizes, subject to stock availability. All Recommended Retail Prices (in Singapore dollars) are based on prices as of 1 January 2018.
45.
If for any reason the Prize(s) designated by Samsung are unavailable, Samsung reserves the right to substitute with prize(s) of equal or greater value. Prizes cannot be exchanged for cash or any other merchandise or services from Samsung, and Participants shall be solely responsible for all applicable taxes related to accepting the prize.
46.
The prizes are provided on an "as is", "with all faults" and "as available" basis. The prizes are subject to their respective licensing terms. Participants agree that Samsung will not be responsible or liable for any loss, damage or personal injury resulting from the use of the prize.
47.
Samsung does not undertake any responsibility or obligation to ensure that any prize will be delivered, by the sponsors or otherwise, to any prize winner.
Data / Personal Information
48.
All data transfer and reception time shall be according to Samsung's server, and subject to Samsung's final decision. Samsung is not responsible for any data that is transmitted late, lost, incorrectly uploaded to other websites, or any information that is received but incomplete or illegible.
49.
By participating in the Competition, you declare and warrant that all data and information you provide is complete and accurate. If the details you provide are incomplete, inaccurate (including but not limited to the use of a false e-mail address), inappropriate or illegible, or you impersonate another person or company to participate, Samsung will in its sole and absolute discretion disqualify your eligibility in this Competition.
50.
Personal information ("PI") of Participants will be collected to enable the organisers (Samsung, Cheil Worldwide and Starcom Worldwide) to administer and use the information provided by the Participants to conduct the Competition and contact them should they win the Competition (prizes). The PI of Participants may be provided to others assisting the organisers in this regard, including without limitation prize suppliers and deliverers, and authorities that regulate the Competition (if applicable). Samsung may, for a reasonable period of time, unless otherwise advised, use Participants’ PI for promotional, marketing, publicity, research and profiling purposes, including sending electronic messages or telephoning the contestant(s). Each Participant consents to such collection, use and disclosure or his/her PI for such purposes. If a Participant does not truthfully provide all requested PI, the organisers may solely determine that such Participant shall not be eligible to take part in any way in the Competition or win any prize (if applicable).
51.
Each Participant agrees that Samsung shall be at liberty to publish, promote, copy, reproduce, transmit, display, edit, adapt, modify, create derivative works of and/or otherwise distribute or use his/her particulars (including any publicly available Facebook profile photo and details) and/or the Entries (or any part thereof): (i) in connection with the Competition and/or Samsung products; (ii) for the promotion and publicity of the Contest and/or Samsung products; (iii) in any manner, format or media whether now known or hereinafter created, and in any part of the world, including without limitation on online platforms such as Facebook, Instagram, Twitter and YouTube; (iv) at Samsung's sole direction; and (v) royalty-free and without any obligation of attribution or consent. For the avoidance of doubt, Samsung expressly reserves the right to adapt, edit and/or modify each Entry to include any logo, branding, name, mark, product image in respect of any Entry or such derivative work thereof, for any promotional or marketing purposes of Samsung branding and/or products. Each Participant agrees for Samsung to use his/her name, voice, photograph, likeness or other personal identifiable information in any media for the promotion and publicity of the Competition and/or Samsung products; and grants to Samsung all consents and waivers necessary hereunder, including in respect of any promotional photographs and/or audio/ video recordings taken in respect of the Competition.
52.
Unless otherwise required for the purposes stated in these Terms and Conditions, all PI of Participants collected for the Competition will be destroyed within six months after the announcement of the winning teams of the Competition. Participants’ PI are subject to Samsung's Privacy Policy. Samsung is committed to the protection of personal data, including the content or material you provide to Samsung. Indemnity and Liability
53.
By taking part in the Competition, each Participant hereby agrees to indemnify Samsung against all actions, losses, claims, damages, costs and expenses of whatever nature arising directly or indirectly from any breach by him/her of any of the representations or warranties or any term or condition contained in these Terms and Conditions.
54.
To the maximum extent permitted by law, Samsung shall not be liable for any indirect, special or consequential loss or damage that you may suffer in connection with the Competition.
Disqualification
55.
Samsung reserves the right in its sole and absolute discretion to disqualify any Entry which Samsung has reason to believe has breached any of these Terms and Conditions, or engaged in any unlawful or other improper misconduct calculated to jeopardise the fair and proper conduct of the Competition. Samsung reserves all legal rights to recover damages or other compensation from such an Entry.
Competition Changes
56.
Samsung has the right at any time to change, suspend or discontinue the Competition or any aspect of it. Samsung will announce any substantive change to the Competition by posting on the Competition microsite. Any changes or discontinuation will take effect from the date of public notification. Continued Participation of the Participants in the Competition will constitute acceptance to any changes made by Samsung.
Participant Withdrawal
57.
If any Participant does not agree with any changes, he/she should withdraw from the Competition. The Participant agrees that Samsung shall not be liable to him/ her for any loss or damages arising as a result of any such changes or discontinuation. Three or more Participants who withdraw will also result in the withdrawal of their team.
58.
Participants that wish to withdraw from the Competition may do so via email to dcode@samsung.com provided that such withdrawal is prior to 23 December 2017. Participants are not allowed to withdraw from the Competition on or after 23 December 2017.
Disclaimer
59.
Participants consent and agree that their Entries will be made available by Samsung for viewing and commenting on by the public, and that comments or ratings that they disagree with or are unhappy about may be published or otherwise become associated with their Entry.
60.
Except where expressly provided herein, Participants shall bear their own costs and expenses incurred and/or arising from their participation in the Competition, and no reimbursement may be sought from Samsung or any participating sponsor.
61.
To the fullest extent permissible under applicable law, Samsung disclaims all warranties and representations of any kind, express or implied, including any representation that any prize shall be delivered or transferred to the Winner(s). Except for any liability that cannot be excluded by law, Samsung, all participating sponsors and any of their respective parent companies, subsidiaries, affiliates, directors, officers, professional advisors, employees and agencies excludes all liability (including for negligence), for any personal injury, or any loss or damage (including loss of opportunity), whether direct, indirect, special or consequential, arising in any way out of the Competition, including, but not limited to, where arising out of the following: (a) any problem, loss or damage of whatsoever nature suffered by any party due to any delay and/or failure (including lost Entries, mail delay or loss) in registering for or participating in the Competition as a result of any communication error, interruption, human error and/or failure by Samsung and/or any third party; (b) any problem, damage or loss of whatsoever nature to any person, resulting from his/her participation in the Competition; (c) any error (including error in notification of Winners), omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, alteration of, or unauthorised access to Entries, or Entries lost or delayed whether or not arising during operation or transmission; or (d) any changes made by Samsung or any third party suppliers or sponsors.
Miscellaneous
62.
By accessing the Competition microsite, you are communicating with Samsung electronically. By doing so, you agree to receive communications from Samsung electronically. Samsung will communicate with you by electronic mail at the electronic mail address provided by you or posting notices on the Contest website or any other website that may be generally designated in advance for such purpose. You consent to receiving electronically all agreements, notices, disclosures and other communications that Samsung provides to you.
63.
Samsung makes no guarantee of the availability of its web services and will not be held responsible for interruption of service that may interfere with the ability to participate in the Competition.
64.
As a condition of the Competition, where required by Samsung, the Winners shall enter into a separate agreement in writing setting out all other applicable terms and conditions, including any confidentiality obligations and intellectual property ownership rights.
65.
All decisions of the judges and/or Samsung are final as to all Competition-related matters and no correspondence or further claims will be entertained.
66.
This Competition and the Terms and Conditions shall be governed and construed in accordance with the laws of Singapore and the courts of Singapore shall have jurisdiction to hear all disputes relating to them.
67.
All provisions of the Terms and Conditions shall apply to the maximum extent permitted by law. If any provision of these Terms and Conditions shall be held to be unlawful, void or unenforceable, then such provision shall be replaced with terms and conditions that most closely match the intent of Samsung and the remainder of the Terms and Conditions shall continue in full force and effect.
